Creations

Any and all works, computer programs, applications or creations which TREMEND shall be the sole and exclusive property of the client. TREMEND agrees to transfer and assign to the CLIENT all proprietary and intellectual property rights, including, without limitation, copyright, and/or patent rights, without further compensation to TREMEND.

Disclosure and Assignment of Creations

TREMEND agrees to disclose to the CLIENT all such Creations which TREMEND has made or may make solely, jointly, or commonly with others for the purpose of providing to the CLIENT the Services and execute and sign any and all applications which CLIENT may deem necessary or appropriate in order to enable CLIENT apply for and obtain copyrights, patents or other intellectual property rights in Romania, and any other countries.

Confidential Information

"Confidential Information" means all information made available by the CLIENT to TREMEND in connection with the Services. Confidential Information includes information where the nature, or manner by which it is disclosed, should reasonably cause TREMEND to understand such information to be proprietary or confidential.

TREMEND will protect the Confidential Information with at least the same degree of care that it uses to protect its own Confidential Information.

TREMEND will not disclose, and will cause its agents not to disclose, the Confidential Information to any third party unless required by law and provided that TREMEND gives the CLIENT prompt notice of the order compelling disclosure, and cooperates with the CLIENT´s attempts to limit the extent of disclosure.

TREMEND will only use the Confidential Information for the purpose of performing the obligations under this Agreement. All confidentiality undertakings assumed by TEMEND under this Agreement shall continue to exist and be incumbent on TREMEND for an indefinite period of time, irrespective of the termination of this Agreement.
